Definitions

In these Terms of Service, the following definitions apply:

• "Agency" / "We" / "Us" — Prestige Creators Agency LLC, a company incorporated in Wyoming, USA
• "Creator" / "You" — any individual who enters into a management agreement with the Agency and uses the Platform
• "Platform" — the Prestige Creators web-based management system, creator portal, and all associated tools
• "Management Agreement" — the signed contract between you and the Agency governing the terms of your representation
• "Content" — all photos, videos, written material, and other media you create as part of your work with the Agency
• "Managed Platforms" — third-party platforms (including OnlyFans, Fansly, and others) on which the Agency manages your account on your behalf
• "Revenue" — all gross income generated through your Managed Platform accounts

Eligibility

By using the Platform you also represent that:

• You have the legal capacity to enter into a binding contract
• You are not subject to any existing agreement that would prevent you from entering into a management relationship with us
• All information you provide is accurate, truthful, and complete
• You have the right to grant us the access and permissions described in these Terms and your Management Agreement

We reserve the right to verify your age and identity at any time and to terminate services immediately if eligibility requirements are not met.

The Management Agreement

Your use of the Platform is governed by both these Terms of Service and your individual Management Agreement. In the event of any conflict between the two, the Management Agreement takes precedence on matters specific to your representation, while these Terms govern your use of the Platform.

Key Terms of Representation

• Agency split — as specified in your Management Agreement (typically ranging from 5%–50% of gross revenue)
• Contract duration — as specified in your Management Agreement
• Notice period — 60 days written notice required to terminate the agreement by either party
• Exclusivity — you may not engage another agency for the same platforms during the term of your agreement without written consent

Your Management Agreement is a legally binding document. Please ensure you have read and understood it fully before signing. You are encouraged to seek independent legal advice.

Our Services

As your management agency, we provide some or all of the following services as outlined in your Management Agreement:

• Account management — day-to-day operation of your Managed Platform accounts including posting, messaging, and engagement on your behalf
• Fan engagement & DMs — responding to fans and managing direct message conversations using your agreed persona
• Content strategy — advising on and requesting content from you to maximise your revenue
• Earnings tracking — monitoring your revenue across all Managed Platforms and maintaining accurate financial records
• Payout management — calculating agency splits and facilitating your earnings payouts via your nominated payment method
• Creator portal access — providing you with access to the Platform to view your deliverables, earnings, and communicate with your team

Creator Obligations

In connection with the Platform and your Management Agreement, you agree to:

• Provide accurate information — all information submitted during onboarding and thereafter must be accurate and truthful
• Deliver requested content — fulfil content requests (deliverables) within the agreed timeframes in acceptable quality
• Maintain platform accounts — keep your Managed Platform accounts active and in good standing
• Notify us of changes — inform us promptly of any changes to your contact details, platform credentials, or personal circumstances that affect the management relationship
• Not interfere — do not take actions on your Managed Platforms that conflict with or undermine our management work without prior discussion
• Keep credentials accessible — ensure any access credentials you provide remain valid; notify us immediately if they change
• Comply with platform rules — you remain responsible for compliance with the terms of service of any third-party platform on which your account is managed
• Age compliance — you warrant that all content you create complies with applicable age verification laws including 18 U.S.C. § 2257

Earnings, Splits & Payments

Revenue Calculation

Your agency split is calculated as a percentage of gross revenue generated through your Managed Platform accounts, as specified in your Management Agreement. Gross revenue includes all subscription income, tips, pay-per-view sales, and other direct platform earnings.

Payout Process

• Earnings are tracked and logged by your management team on a monthly basis
• Your share (gross revenue minus agency split) is paid to your nominated payment account (typically Paxum)
• Payout timing is as specified in your Management Agreement

Disputes

If you believe there is an error in your earnings or payout calculation, you must raise the dispute in writing within 30 days of the relevant payout. We will investigate and respond within 14 days.

Platform Access & Credentials

You may provide us with login credentials for Managed Platforms. By doing so, you:

• Grant us a limited, revocable authority to access and operate those accounts on your behalf for the duration of your Management Agreement
• Confirm that you have the right to share those credentials with us
• Acknowledge that we will store credentials securely using AES-256 encryption

We will never use your platform credentials for any purpose other than managing your account on your behalf. We will never attempt to transfer ownership of your accounts, lock you out of your own accounts, or use your accounts for any purpose not agreed in your Management Agreement.

Creator Portal Access

We will provide you with login credentials to access the Prestige Creators platform. You are responsible for keeping these credentials confidential. Do not share your portal login with anyone.

Content Ownership

You retain full ownership of all content you create. By engaging with our services, you grant Prestige Creators Agency LLC a limited, non-exclusive license to:

• Upload, schedule, and post your content to your Managed Platform accounts
• Use thumbnails, previews, and promotional excerpts of your content for marketing your Managed Platform accounts to fans
• Archive copies of your content within our secure platform for operational purposes

This license is strictly limited to activities necessary to manage your accounts. We will not sublicense, sell, or otherwise commercially exploit your content outside of the scope above without your explicit written consent.

Upon termination of your Management Agreement, all stored copies of your content will be deleted or returned to you within 30 days of your written request.

Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• The specific terms of your Management Agreement, including your agency split
• Your personal identity, legal name, and contact information
• Your content preferences, restrictions, and hard no's
• Your platform credentials and financial details
• Any proprietary information about our business operations, strategies, or systems

This confidentiality obligation survives termination of the agreement and continues indefinitely.

Termination

Termination by Either Party

Either party may terminate the Management Agreement by providing 60 days written notice to the other party, as specified in your Management Agreement.

Immediate Termination

We reserve the right to terminate the agreement immediately, without notice, if you:

• Breach any material term of this agreement or your Management Agreement
• Provide false or misleading information
• Engage in conduct that is illegal, harmful, or that brings our agency into disrepute
• Violate the terms of service of any Managed Platform resulting in account suspension or banning

Effect of Termination

• Our authority to access your Managed Platforms ceases immediately
• Any outstanding earnings owed to you will be paid within 30 days
• All your content and data will be deleted from our systems within 30 days of your written request (subject to legal retention requirements)
• Confidentiality obligations survive termination

Limitation of Liability

To the maximum extent permitted by applicable law, Prestige Creators Agency LLC shall not be liable for:

• Loss of earnings resulting from third-party platform suspensions, policy changes, or outages beyond our control
• Indirect, incidental, special, or consequential damages of any kind
• Loss of data due to circumstances outside our reasonable control
• Actions taken by third-party platforms regarding your accounts

Our total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total agency fees earned in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded by law.

Indemnification

You agree to indemnify, defend, and hold harmless Prestige Creators Agency LLC, its officers, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including legal fees) arising from or relating to:

• Your breach of these Terms or your Management Agreement
• Content you create that infringes third-party rights or violates applicable law
• Your violation of any third-party platform's terms of service
• Any false or inaccurate information you provide to us

Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, contact us first at [email protected] and we will make a genuine effort to resolve it within 14 days.

If informal resolution is not possible, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. The arbitration shall take place in Wyoming, USA, or via video conference by mutual agreement.

You agree to resolve disputes individually and waive the right to participate in any class action lawsuit or class-wide arbitration against Prestige Creators Agency LLC.

Governing Law

These Terms and your Management Agreement are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. For creators located in the European Union, nothing in these Terms removes rights afforded by applicable EU consumer protection law.

Miscellaneous

• Entire agreement — these Terms together with your Management Agreement constitute the entire agreement between the parties
• Severability — if any provision is found unenforceable, the remaining provisions continue in full force
• No waiver — failure to enforce any provision does not constitute a waiver of that provision
• Assignment — you may not assign your rights or obligations without our written consent; we may assign ours in connection with a merger or acquisition
• Updates — we may update these Terms from time to time; material changes will be communicated via email and your creator portal with 30 days notice
